1. Membership Eligibility and Responsibilities

Application: Prospective members must complete an application form and provide necessary documentation as requested by TCA.

Approval: Membership is subject to approval by TCA’s management. TCA reserves the right to accept or reject any membership application.

2. Compliance with TCA Financial Protection Plan (FPP)
​

Acceptance: By becoming a member, you agree to abide by the rules set out in the TCA Financial Protection Plan (FPP).

Annual Fees: Members shall pay their Membership Fees and Financial Protection Plan (FPP) Fees promptly each year without delay when their annual renewal fees are due.

3. Liability Disclaimer

No Liability for Profits: TCA shall not be liable for any loss of profits that members suffer or any special, incidental, or consequential damages arising out of or in connection with or as a result of any business transaction with one another.

No Compensation: In no event shall TCA be responsible in any form of compensation to members from any claim or demand, which includes attorneys’ fees or the cost of commencing legal proceedings, which members of TCA may seek for any reason.
4. Conduct and Cooperation

Respect and Dignity: Members shall treat all other members with respect and dignity.

Assistance: Members shall assist other members with any queries they may have, even if no business transaction takes place.

Annual Conference: All members are encouraged to attend the Annual Conference to foster network development and collaboration.
5. Communication and Updates

Contact Information: Members shall update TCA of any changes in their contact details promptly to ensure the Register is updated and current.

Information Disclosure: Members consent to the disclosure of their contact information to other TCA members for the purpose of correspondence and network development.
6. General Compliance

Legal Compliance: Members must comply with all applicable local, national, and international laws, regulations, and conventions related to shipping and freight forwarding.

Ethical Conduct: Members must conduct business with honesty, integrity, and transparency, avoiding conflicts of interest.
7. Disciplinary Actions and Termination of Membership

Violations: Any violation of these rules and regulations may result in disciplinary action, including suspension or termination of membership.

Appeals: Members have the right to appeal disciplinary actions through a formal process established by TCA.

Termination by TCA: Without limiting the generality of anything in these Rules, TCA may terminate a member from TCA, in whole or in part with no refund of the Membership Fee or Financial Protection Plan (FPP), immediately by notice in writing if:

The member (including any branch or subsidiary of the member) is in breach of any term of these Rules and/or Regulations and such breach is not remedied within 30 days of notification by TCA.

The member’s Membership Fees or Financial Protection Plan (FPP) contributions remain unsettled after three reminders are sent to the member.

The member becomes, threatens or resolves to become, or is in jeopardy of becoming subject to any form of insolvency administration.

The member, being a partnership, dissolves, threatens or resolves to become, or is in jeopardy of dissolving.

The member distributes any information obtained by way of its membership with TCA to non-members of TCA.

The member ceases or threatens to cease conducting its business in a normal manner.

Voluntary Termination: Any member may terminate their membership by giving four weeks’ notice ("Termination Notice") to TCA in writing via letter or electronic mail. The Termination Notice shall be signed and dated.

An acknowledgment by TCA shall be issued to the member within four weeks of TCA’s receipt of the Termination Notice. The name of the member shall then be removed from the Register.

Resigning members will have to settle all outstanding invoices owed to existing TCA members. Similarly, any outstanding amounts owed to resigning members have to be settled by TCA members without any delay.

Members are advised that neither the Membership Fee nor the payment towards the Trust Fund will be refunded for the year in which termination takes effect.

Members who voluntarily withdraw, automatically terminate their membership, or are terminated by TCA shall refrain from using the TCA logo ("Logo").

8. Membership Benefits

Usage of TCA Group Name and Logo: Approved members will be allowed to use the TCA Group name and logo.

Directory Access: Full access to the members directory and global business networks through our members-only website.

Mobile App Access: Access to the exclusive membership iPhone app.
9. Amendments to Rules and Regulations

Changes: TCA reserves the right to amend these rules and regulations at any time. All members will be notified of such amendments and/or changes by way of electronic mail and/or post and/or a bulletin on TCA’s website.

Acceptance: Continued membership constitutes acceptance of any amendments to these rules and regulations.
